У 1976 році фонд запланував зібрати 150 мільйонів доларів. Зібрав 11,3.
Джон Богл запускав перший у світі індексний фонд для роздрібних інвесторів під брендом Vanguard. Wall Street Journal тоді назвав ідею затією Богла, маючи на увазі провал. Замість активного управління фонд просто копіював S&P 500 і брав мінімальну комісію за це. Індустрія на той момент заробляла на високих платах за управління, тому пасивний продукт із мізерною маржею виглядав комерційним самогубством.
Але Богл зробив дещо важливіше за сам продукт: він переробив структуру власності компанії. Vanguard належить не зовнішнім акціонерам, а самим фондам, у яких тримають гроші інвестори. Прибуток від економії на масштабі йде назад клієнтам у вигляді нижчих комісій, а не в кишеню власників керуючої компанії. Це рішення 1975 року, ще до запуску індексного фонду, і воно вплинуло на все, що сталось потім. Керівники конкурентів на Wall Street на той момент вважали цю модель непрацездатною: без зовнішнього капіталу компанія не могла б швидко масштабувати продажі й маркетинг так, як робили Fidelity чи Merrill Lynch.
Активні фонди на Wall Street в середині 1970-х тримали середню комісію за управління під 1% на рік. Vanguard роками знижував свою, і сьогодні середньозважена комісія по лінійці фондів компанії нижче 0,1%. Різниця в 0,9 процентного пункту на горизонті 30-40 років інвестування українцю чи ізраїльтянину, який вкладає пенсійні накопичення, зʼїдає за грубими підрахунками до третини кінцевого капіталу. За майже пʼятдесят років компанія, яку преса хоронила в перший рік, керує активами під 10 трильйонів доларів і випередила за обсягом клієнтських грошей більшість банків Волл-стріт разом узятих.
Порівняння з іншим сегментом ринку показує, що структурне рішення важливіше за яскравий запуск. Robinhood у 2013-2015 роках підняв венчурний капітал під ідею нульових комісій за торгівлю акціями і вийшов на IPO 2021 року з оцінкою понад 30 мільярдів доларів, але заробляв в основному на продажу потоку ордерів маркет-мейкерам, тобто на конфлікті інтересів між платформою і клієнтом. За перші роки публічної історії компанія кілька разів отримувала штрафи регуляторів саме за цю модель монетизації. Обидва фонди боролись за роздрібного інвестора зниженням вхідного бар'єру, але лише один з двох прибрав конфлікт інтересів зі структури власності, а не тільки з ціни.
Для фаундера практичний висновок не в тому, що низька маржа сама по собі перемагає. Він у тому, що структура власності й стимулів визначає поведінку компанії роками наперед, задовго до того, як продукт довів product-market fit. Богл зафіксував інтереси власника і клієнта в одній точці ще до першого залучення грошей. Для інвестора чи аналітика висновок інший: коли оцінюєш стартап або фонд, дивись не лише на цифру раунду, а на те, кому дістається економія від масштабу через пʼять і десять років. У венчурі та SPV-структурах це питання прямо впливає на carry і на те, чиї інтереси захищені першими при виході.
