To miała być transakcja stulecia w świecie mediów. Netflix, król streamingu, chce kupić Warner Bros. Discovery (właściciela HBO i DC) za niewyobrażalne 82,7 mld dolarów.
Ale amerykański rząd mówi: „Sprawdzam”. Departament Sprawiedliwości wszczyna dochodzenie, które może zablokować powstanie streamingowego monopolisty.
Monopol na pilota?
Jak donosi Wall Street Journal, amerykański Departament Sprawiedliwości (DOJ) nie traktuje tego zakupu jako rutynowej formalności. Śledczy szukają dowodów na to, że Netflix stosował „praktyki wykluczające”, by zabetonować swoją pozycję na rynku jeszcze przed przejęciem rywala. Stawka jest gigantyczna. Połączenie biblioteki Netflixa (Stranger Things, The Crown) z katalogiem Warnera (Gra o Tron, Harry Potter, Batman) stworzyłoby podmiot, z którym nikt nie mógłby konkurować ceną ani treścią.
„Standardowa procedura” czy wojna?
Prawnicy Netflixa uspokajają, twierdząc, że to „standardowy przegląd”. Steven Sunshine, reprezentujący giganta, zapewnia, że nie otrzymali sygnałów o osobnym śledztwie antymonopolowym. Eksperci są jednak innego zdania.
DOJ pod obecną administracją jest wyjątkowo cięty na gigantów technologicznych (sprawy przeciwko Apple czy Google). Jeśli urzędnicy uznają, że Netflix + HBO = koniec wolnego rynku, fuzja może zostać zablokowana w sądzie, co byłoby trzęsieniem ziemi dla Wall Street.
Co to oznacza dla widza?
Proces zatwierdzania transakcji ma potrwać od 12 do 18 miesięcy. Jeśli fuzja dojdzie do skutku, prawdopodobnie czeka nas unifikacja aplikacji (koniec HBO Max/Max jako osobnego bytu?) i… niemal pewna podwyżka cen. W końcu monopolista nie musi walczyć o klienta promocjami.
