Small update on the #ReedyCreek #Disney lawsuit against #DeSantis and #Florida: the 11th Circuit just indicated that Disney is on very strong footing.

By 3-0 decision, they held favorably for a State Attorney removed in part for retaliation against political speech, showing willingness to wade into state internal business.

Trump appointee Newsom's concurrence made clear his view that "anti-woke" retaliation and speech restrictions violate the First Amendment.

#Disney moved to dismiss, or in the alternative, to stay the #ReedyCreek / #CFTOD lawsuit seeking to invalidate the agreements the District entered right before the takeover.

Argument is that state law prohibits the District from complying with the contract, so the issue is moot until the federal case is resolved. I think the Court will likely dismiss or stay the case given the Federal case on the same issues, and I don't think it matters much which one.

The Board suing Disney is a product of Disney suing solely for constitutional violations. if Disney lost, there would still be the underlying question of whether the contracts are valid under state law.

There could definitely be some venue jostling here.

Looks like the #reedycreek / CFTOD Board might vote to sue #Disney next Wednesday.

To do that, they need to explicitly vote that they're disregarding/repudiating the contract, because otherwise Florida courts don't have jurisdiction to hear the matter because it's not yet an *actual* fight. Repudiating the contract gives the court jurisdiction.

But if you already know about the #ReedyCreek Improvement District's February meeting, it adds nothing new because we have yet to see Disney argue in court that FL's abolition of #RCID was a #BillOfAttainder or FL's mewling attempts to say RCID and Disney couldn't sign new contracts just because DeSantis was making loud noises and telegraphing his punches.

The #Florida AG, investigating the Reedy Creek/CFTOD contracts that granted Disney broad rights and powers, made a records request for documents "discussing an intention or goal of circumventing, avoiding, frustrating, mitigating or otherwise attempting to avoid the effects of anticipated actions by the Florida governor and the Florida Legislature."

#ReedyCreek, now controlled by governor's appointees, has now responded that no such documents exist.

But lawyers developed a weird and simple trick for getting around this—the "Royal Lives clause." Simply put, the "living person" would be a descendant of the royal family. They were numerous and easy to trace, which made it convenient.

Why did Disney drag the King into this deal? The unbelievable short answer: this is a common legal trick to defend contracts against legal challenges.

Under the American and English common law, certain types of transfers might be conditional or uncertain. And leaving those uncertain conditions unresolved for long periods of time was widely seen as undesirable.

It's perfectly legal for a local government to adopt land development regulations that grant wide latitude to landowners.
